A n n u a l R e p o r t 2 0 1 2 L a p o r a n T a h u n a n 55 Dato’ Abdul Rahman Ahmad Independent Non-Executive Director Pengarah Bukan Eksekutif Bebas Dato’ Abdul Rahman Ahmad, aged 43, a Malaysian, was appointed to the Board as an Independent Non-Executive Director on 18th January 2012. He was also a Member of the Audit Committee and Remuneration Committee. He graduated with a Master of Arts in Economics from Cambridge University, United Kingdom in 1992 and is a member of the Institute of Chartered Accountants in England and Wales (ICAEW). He began his career in 1992 at Arthur Andersen, London, United Kingdom. He then served as the Special Assistant to the Executive Chairman of Trenergy (M) Berhad/Turnaround Managers Inc (M) Sdn Bhd and subsequently joined Pengurusan Danaharta Nasional Berhad. He also held the position of Executive Director of SSR Associates Sdn Bhd, the Group Managing Director and Chief Executive Officer of Malaysian Resources Corporation Berhad, the Executive Director of Sistem Televisyen Malaysia Berhad and the Group Managing Director and Chief Executive Officer of Media Prima Berhad. He is currently the Chief Executive Officer of Ekuiti Nasional Berhad. He is also a director of Malaysian Resources Corporation Berhad, Kota Bayu Ekuiti Berhad, Axiata Group Berhad and Konsortium Logistik Berhad. He attended 18 out of 22 Board Meetings of the Company held during the financial year under review since his appointment as Director. He resigned from the Board of the Company on 28 February 2013. He has no conflict of interest with the Company and does not have any family relationship with any Director and/or major shareholder of the Company. He has not been convicted for any offences within the past ten years. Dato’Abdul Rahman Ahmad, berusia 43 tahun, warganegara Malaysia, telah dilantik sebagai Pengarah Bukan Eksekutif Bebas pada 18 Januari 2012. Beliau juga pernah menjadi ahli Jawatankuasa Audit dan Jawatankuasa Imbuhan. Beliau memperoleh Ijazah Sarjana Sastera dalam Ekonomi dari Universiti Cambridge, United Kingdom pada tahun 1992 dan merupakan ahli Institut Akauntan Berkanun di England dan Wales (ICAEW). Beliau memulakan kerjaya pada tahun 1992 di Arthur Andersen, London, United Kingdom. Beliau kemudiannya berkhidmat sebagai Pembantu Khas kepada Pengerusi Eksekutif Trenergy (M) Berhad/Turnaround Managers Inc (M) Sdn Bhd dan seterusnya menyertai Pengurusan Danaharta Nasional Berhad. Beliau juga pernah memegang jawatan sebagai Pengarah Eksekutif SSR Associates Sdn Bhd, Pengarah Urusan Kumpulan dan Ketua Pegawai Eksekutif Malaysian Resources Corporation Berhad, Pengarah Eksekutif SistemTelevisyen Malaysia Berhad dan Pengarah Urusan Kumpulan dan Ketua Pegawai Eksekutif Media Prima Berhad. Beliau kini merupakan Ketua Pegawai Eksekutif Ekuiti Nasional Berhad. Beliau juga merupakan seorang pengarah di Malaysian Resources Corporation Berhad, Kota Bayu Ekuiti Berhad, Axiata Group Berhad dan Konsortium Logistik Berhad. Beliau telah menghadiri 18 daripada 22 Mesyuarat Lembaga Pengarah Syarikat yang diadakan sepanjang tahun kewangan di bawah tinjauan sejak pelantikan beliau sebagai Pengarah. Beliau meletak jawatan dari Lembaga Pengarah Syarikat pada 28 Februari 2013. Beliau tidak mempunyai konflik kepentingan dengan Syarikat dan tidak mempunyai sebarang hubungan kekeluargaan dengan mana-mana Pengarah dan/atau pemegang saham utama Syarikat. Beliau tidak pernah disabitkan dengan sebarang kesalahan sepanjang sepuluh tahun lepas.
