2 FGV HOLDINGS BERHAD DIRECTORS’ REPORT The Directors hereby submit the annual report to the members together with the audited financial statements of the Group and of the Company for the financial year ended 31 December 2019. Alithambi Dr. Nesadurai Kalanithi Dato’ Dr. Othman Omar Mohd Hassan Ahmad Dr. Zunika Mohamed (Appointed on 10 February 2020) Dato’ Dr. Noor Zari Hamat (Appointed on 23 July 2019 and resigned on 22 January 2020) Dato’ Mohamed Suffian Awang (Retired on 25 June 2019) Datuk Dr. Salmiah Ahmad (Resigned on 5 December 2019) The Company was granted a relief by Companies Commission of Malaysia from disclosing the names of the Directors of the Company’s subsidiaries in this report as required under Section 253(2) of Companies Act 2016 in Malaysia. The names of the Directors of the subsidiaries are set out in the respective subsidiaries’ Directors’ Report and the Board deems such information as included herein by such reference and shall form part hereof. PRINCIPAL ACTIVITIES The Company is principally an investment holding company with investments primarily in oil palm plantation and its related downstream activities, sugar refining, trading, logistics, marketing, rubber processing, research and development activities and related agribusiness activities. The principal activities of the subsidiaries are stated in Note 24 to the financial statements. There were no significant changes in the nature of the activities of the Group and the Company during the financial year.
